Terms and Conditions

Effective date: 28 January 2026.

These Terms and Conditions (“Terms”) govern the provision of services by Napta Studio (“we”, “us”, “our”) to you (“client”, “you”). By booking, paying for, or using our services, you agree to these Terms.


1. Introduction

This Agreement sets forth the Terms and Conditions for services provided by Napta Studio (“the Provider”) to you, the client (“the Client”). Its purpose is to outline the scope of services and the mutual expectations of both parties in a clear and professional manner. By booking, paying for, or using the Provider’s services, the Client acknowledges and agrees to these Terms.


2. About Napta Studio

Napta Studio provides web design, UX/UI design, branding, digital strategy, and related creative services. We operate as an independent studio and not as a full-service agency.


2. Scope of Services

2.1 The scope, deliverables, timelines, and fees are defined in the proposal, quotation, or service description agreed in writing before work begins.

2.2 Any work outside the agreed scope will be treated as additional work and quoted separately.

2.3 We do not provide legal, financial, or marketing performance guarantees unless explicitly stated in writing.


3. Client Responsibilities

3.1 You agree to provide all required content, assets, access, and feedback in a timely manner.

3.2 Delays in providing materials or approvals may affect delivery timelines. Napta Studio is not responsible for delays caused by the client.

3.3 You confirm that any materials you provide do not infringe third-party rights.


4. Fees and Payment

4.1 All prices are quoted in GBP unless stated otherwise.

4.2 A non-refundable deposit of [50%] is required before work begins. This deposit secures time and resources and is non-refundable once work has started.

4.3 The remaining balance is due upon project completion or as outlined in the proposal or invoice.

4.4 Late payments may result in paused work and delayed delivery. Napta Studio reserves the right to withhold final deliverables until full payment is received.


5. Revisions and Feedback

5.1 The number of revisions included is defined in your selected package.

5.2 Additional revisions beyond the agreed amount will be charged at an hourly or fixed rate.

5.3 Feedback must be clear, consolidated, and provided within a reasonable timeframe.


6. Intellectual Property

6.1 Upon full payment, you are granted ownership of the final approved deliverables, unless otherwise agreed.

6.2 Napta Studio retains ownership of all preliminary concepts, drafts, and unused designs.

6.3 We reserve the right to showcase completed work in our portfolio, website, and marketing materials unless you request otherwise in writing.


7. Third-Party Platforms and Tools

7.1 We are not responsible for outages, changes, or limitations caused by third-party platforms (including but not limited to Wix, WordPress, hosting providers, plugins, or payment processors).

7.2 Ongoing platform fees, hosting, domains, and subscriptions are the client’s responsibility unless explicitly included.


8. Project Timelines

8.1 Timelines are estimates and depend on timely client collaboration.

8.2 Significant delays or inactivity exceeding [ 30 days] may result in project closure. Restarting the project may require additional fees.


9. Cancellation and Refund Policy
Client Cancellations

To reschedule or cancel a booked session or service, the Client must provide at least [48 hours] notice before the scheduled time. Cancellations made with sufficient notice will be accommodated where possible. If a session is cancelled with sufficient notice, any pre-paid fee may be refunded or credited in accordance with the Provider’s policy.

Late Cancellations and No-Shows

Cancellations made with less than the required notice, or failure to attend a scheduled session without notice, may result in the Client being charged the full session fee. No refunds will be issued for late cancellations or no-shows.

Rescheduling

Where adequate notice is given, the Provider will make reasonable efforts to reschedule. Repeated rescheduling or cancellations may result in the Provider reassessing future bookings or terminating the agreement.

Provider Cancellations

If the Provider must cancel or reschedule due to illness, emergency, or unforeseen circumstances, the Client will be notified as soon as possible. The Client may choose to reschedule or receive a full refund or credit for the affected session.

Refunds for Packages or Prepaid Services

Refunds for packages or prepaid services are handled on a case-by-case basis. Unless otherwise agreed in writing, unused portions of packages are non-refundable once the service has commenced. All sales are final except where required by law.


10. No Guarantees

10.1 We do not guarantee specific business results, sales, SEO rankings, conversions, or performance outcomes.

10.2 Design effectiveness depends on multiple external factors beyond our control.


11. Liability Disclaimer and Limitation
No Guarantees

The Client understands that the Provider’s services are professional creative and advisory services. No specific business results, performance outcomes, or financial gains are guaranteed.

Not Medical or Emergency Services

The Provider does not offer medical, psychological, or emergency services. Any guidance provided is informational and does not replace professional medical or mental health advice.

Limitation of Liability

To the fullest extent permitted by law, Napta Studio shall not be liable for any indirect, incidental, consequential, or special damages. Total liability shall not exceed the total fees paid by the Client for the services.

Client Responsibility

The Client remains fully responsible for decisions, actions, and outcomes resulting from the use of the Provider’s services. The Provider is not liable for outcomes that differ from the Client’s expectations, except in cases of gross negligence or willful misconduct.


12. Confidentiality

The Provider is committed to protecting the Client’s privacy and confidential information. All personal information, discussions, and records shared during the course of services will remain confidential and will not be disclosed to third parties without the Client’s explicit consent.

Exceptions apply only where disclosure is required by law or ethical obligation, including but not limited to court orders or situations involving risk of harm. In such cases, disclosure will be limited to what is strictly necessary and, where possible, the Client will be informed.

All records are stored securely in compliance with UK and EU GDPR regulations. The Client also agrees to respect the Provider’s confidentiality and not disclose proprietary or sensitive information about the Provider or other clients.


13. Data Protection

Personal data will be processed in accordance with our Privacy Policy and applicable UK GDPR regulations.


14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.


15. Amendments, Governing Law, and Acceptance
Amendments to Terms

Napta Studio may update these Terms from time to time to reflect changes in services, policies, or legal requirements. Updated Terms will be communicated via email or published on the Provider’s website. Continued use of services constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Dispute Resolution

Both parties agree to attempt good-faith negotiation before pursuing formal legal action. Mediation may be considered prior to court proceedings.

Acceptance

By engaging the Provider’s services, the Client confirms that they have read, understood, and agreed to these Terms and Conditions and intend to be legally bound.
